Ribblr Freebie Participation Agreement

By selecting the "Opt-In" checkbox for the Ribblr Freebie program, you, the undersigned (hereafter referred to as "Participant"), hereby agree to the following terms and conditions as set forth by Ribblr LTD ("Ribblr"): 1. Grant of License for Distribution and Promotion: Participant grants Ribblr a non-exclusive, royalty-free license to distribute selected pattern(s) from Participant’s shop to a select number of Ribblr users, including Ribblr+ members, free of charge, up to seven (7) days. Each time this license is exercised, a different pattern may be selected, and this process can occur multiple times. 2. Compensation: Ribblr agrees to compensate Participant for each instance a pattern is selected and featured as a Ribblr Freebie, per pattern, with a monetary reward of up to one hundred dollars ($100 USD), at Ribblr's discretion, with a guaranteed minimum compensation of fifty dollars ($50 USD). This compensation may be in the form of a gift card, cash, or an equivalent value. 3. Promotion and Additional Rewards: Featured patterns shall be promoted across the Ribblr platform. Ribblr will bear the sole cost of promotion for the featured pattern(s), which will include the distribution of images of the pattern and efforts to highlight both the pattern and Participant in a positive light. In addition to monetary compensation, Participant will receive a minimum of ten thousand ($elFee points) as an instant reduction to the sale fee on the Ribblr platform. 4. Program Name Change: For the avoidance of doubt, should the name of the Ribblr Freebie program change in the future, the terms of this agreement will remain in full effect under the new program name. 5. Opt-Out Provision: Participant may opt out of the Ribblr Freebie program at any time by deselecting the opt-in checkbox within their shop settings. However, once a pattern is selected for a specific feature period, the Participant cannot opt out for that period but may opt out for future selections. 6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. 7. Indemnification and Liability: The Participant agrees to indemnify and hold harmless Ribblr from any claims, damages, losses, liabilities, and expenses arising out of or related to Participant’s participation in the Ribblr Freebie program or the selected pattern. Ribblr shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the Participant’s participation in the program or the selected patterns. 8. Integration with Terms and Conditions: This agreement is incorporated into and forms part of the standard Terms and Conditions of Ribblr. By participating in the Ribblr Freebie program, the Participant agrees to be bound by Ribblr’s Terms and Conditions, including any amendments thereto. By opting in via the shop check-in box, the Participant confirms their understanding of and agreement to the terms outlined herein, including the grant of license to Ribblr for the distribution and promotion of selected pattern(s) as Ribblr Freebies. This agreement is effective upon the Participant's selection of the opt-in checkbox and remains in effect until terminated by either party in accordance with the terms outlined above.
