These “Program Terms” (the “Agreement”) govern Designer participation in Ribblr Ltd's ("Ribblr") Gem Patterns program (the “Program”). By opting in to the Program, you (“Designer”) agree to be bound by these terms. Capitalized terms are defined in Section 1 below. 1. Definitions 1.1 “Designer” means the individual or entity that opts in to the Program via their Ribblr shop. 1.2 “Pattern” means any digital knitting, crochet, or similar design submitted and published by a Designer. 1.3 “Selection” means the selection of up to four (4) Patterns per Designer, each calendar month, for promotion under the Program. 1.4 “Compensation” means the one-time payment and $elFee points awarded as set forth in Section 4. 1.5 “License Term” means the one-month period beginning on the date a Pattern is Selected. 1.6 “$elFee Points” means Ribblr’s internal credit applied against sale fees as described in Section 4. 2. Eligibility & Selection 2.1 To participate, Designer must opt in through their Ribblr shop following Ribblr’s instructions. 2.2 Ribblr will select a limited number of Patterns (up to four per Designer) from all Participants each calendar month. 2.3 Selection is binding. Once a Pattern is Selected for a given month, Designer may not reject, withdraw, or remove that Pattern during the applicable License Term. 2.4 Designer may opt out of future Selections at any time via the opt‑out option in their shop; however, opt‑out will only take effect at the start of the following month and will not affect Patterns already selected for the current month or for the upcoming month’s picks. 3. Compensation 3.1 Designer whose Patterns are Selected will receive a single payment of USD 200, determined by Ribblr based on the number, complexity, and retail pricing of Selected Patterns. 3.2 Ribblr will use commercially reasonable efforts to process payment within seventy-two (72) hours of Selection; provided, however, that all payments shall be issued no later than thirty (30) days after the Selection Date. Payments will be made in Designer’s local currency where practicable. 3.3 In addition to monetary payment, Designer will be awarded 100,000 $elFee Points, which Ribblr shall apply to cover all Ribblr sale fees incurred from the Selection Date until the end of that calendar month. 4. Intellectual Property & License 4.1 Ownership. Designer retains all right, title, and interest in and to its Patterns, including all copyrights. 4.2 License Grant. Designer hereby grants Ribblr a non-exclusive, worldwide, royalty-free, sublicensable license to distribute, display, promote, and otherwise use each Selected Pattern for the License Term across Ribblr’s platforms (including website, mobile applications, newsletters, social media, and events). 4.3 Exclusivity. No exclusivity is granted; Designer may sell, license, or otherwise exploit its Patterns before, during, or after the License Term. 5. Term & Termination 5.1 This Agreement commences on the date Designer opts in and continues until the later of (a) the end of all License Terms or (b) termination by Ribblr. 5.2 Ribblr may modify or terminate the Program at any time in its sole discretion; provided, however, that any License Grants already in effect at the time of modification or termination shall continue for their original License Term. 6. Representations & Warranties Designer represents and warrants that: (a) its Patterns are original to Designer and do not infringe any third-party intellectual property or publicity rights; (b) it has full authority to grant the rights and licenses set forth herein; and (c) its Patterns and activity comply with Ribblr’s T&C, community guidelines and applicable laws. 7. Limitation of Liability 7.1 Ribblr’s total liability arising from or relating to the Program or this Agreement shall not exceed the Compensation actually paid to Designer under Section 3. 7.2 In no event shall Ribblr be liable for any indirect, incidental, special, or consequential damages. 8. General Provisions 8.1 Entire Agreement. This Agreement, together with any other Ribblr terms referenced herein, constitutes the entire understanding between the parties regarding the Program and supersedes all prior or contemporaneous communications. 8.2 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-law principles. 8.3 Severability. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. 8.4 Amendments. Any amendments to this Agreement shall be in writing and signed by both parties (or by Ribblr posting revised terms on its website and providing notice to Designer). By opting in, Designer acknowledges that it has read, understood, and agrees to be bound by these Program Terms.
